Terms of Service for Content Submissions

1. Introduction

These Terms of Service ("Terms") govern your submission of content to our platform. By submitting any written work, film, video, or other media content ("Content") to our website, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Content Ownership and License Grant

2.1 You retain ownership of all intellectual property rights to your Content. However, by submitting Content to our platform, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Content in any media formats and through any media channels.

2.2 The license you grant includes the right to embed your Content indefinitely within films, videos, or other media productions that may be created, distributed, or monetized by us or our partners.

2.3 You acknowledge that once your Content is embedded in a film or video production, it cannot be removed or modified upon request, as this would compromise the integrity of the final production.

3. User Representations and Warranties

3.1 By submitting Content, you represent and warrant that:

  • You are the sole creator and owner of the Content or have all necessary rights, licenses, consents, and permissions to use and authorize us to use the Content as specified in these Terms;

  • Your Content does not infringe upon or violate the intellectual property rights, privacy rights, publicity rights, or any other legal or moral rights of any third party;

  • Your Content complies with all applicable laws and regulations;

  • You have obtained all necessary consents from any individuals appearing in your Content;

  • You are at least 18 years of age.

4. Prohibited Content

4.1 You agree not to submit Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;

  • Infringes upon any patent, trademark, trade secret, copyright, or other intellectual property rights;

  • Contains software viruses or any other computer code designed to interfere with the functionality of our platform;

  • Impersonates any person or entity or falsely states or misrepresents your affiliation with a person or entity;

  • Contains private or personal information about another person without their express consent;

  • Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group.

5. Content Moderation and Removal

5.1 We reserve the right, but not the obligation, to review, screen, edit, monitor, refuse, or remove any Content submitted to our platform at our sole discretion.

5.2 While we may remove Content that violates these Terms prior to embedding it in films or videos, once your Content has been embedded, it will remain permanently as part of that production.

6. Indemnification

6.1 You agree to indemnify, defend, and hold harmless our company, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to your Content.

7. Limitation of Liability

7.1 To the maximum extent permitted by applicable law, in no event shall we be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your submission of Content.

8. Changes to Terms

8.1 We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website. Your continued submission of Content after such modifications constitutes your acceptance of the revised Terms.

9. Governing Law

9.1 These Terms shall be governed by and construed in accordance with the laws of The United Kingdom, without regard to its conflict of law provisions.

10. Dispute Resolution

10.1 Any dispute arising out of or relating to these Terms or your Content submission shall be resolved through binding arbitration.

11. Severability

11.1 If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect.
